Georgia Capital has agreed to sell its Global Beer Georgia business to a subsidiary of Royal Swinkels N.V., a deal that would shift control of a major beer producer and distributor in Georgia into a new Netherlands-based holding company.
Georgia Capital said it owns 92.4% of the shares in Global Beer Georgia’s beer and distribution business. After the transaction closes, the business will be managed by Dutch Holdco, a newly registered holding company in the Netherlands. Under the agreement, Georgia Capital will hold 20% of Dutch Holdco and Royal Swinkels will own 80%.
The transaction is valued at $63 million and remains subject to customary closing conditions, including approval from Georgia’s Competition and Consumer Agency. Georgia Capital said the agreement also gives Royal Swinkels an option to buy the 20% stake retained by Georgia Capital.
The company said the sale fits its strategy of investing with limited capital expenditure and completing the full cycle of private asset investment through monetization and disposal. It said the transaction is expected to increase its net asset value by 1.8%.
Global Beer Georgia produces, distributes and sells beer and lemonade in Georgia and export markets under brands including Heineken, Black Lion, ICY, Kazbegi, Amstel and Krusovice. The business also imports and distributes coffee and drinking water.
Operations are conducted through Georgian Beverages Holdings and its subsidiaries, including Global Beer Georgia LLC, Georgia Distribution & Logistics Ltd, Genuine Brewing Company LLC and Global Coffee Georgia LLC.
For the beverage industry, the deal could reshape ownership and decision-making in beer production and distribution in a regional market while strengthening the buyer’s international structure. That may eventually affect brand management, logistics and route-to-market decisions across Georgia and nearby export channels.
Georgia Capital, based in Tbilisi with offices in Leeds and Bristol, invests across sectors including auto retail, education, hospitality, healthcare and beverage production. Royal Swinkels is a Dutch brewing group.
Georgia Capital said the transaction is expected to close after regulatory clearance. The company statement cited a completion target that appears inconsistent with the timing of the announcement.
