Tsingtao Brewery’s controlling shareholder bought 2.04 million more shares under its stake-building plan

Tsingtao Brewery’s controlling shareholder and its wholly owned subsidiary bought 2,042,200 additional shares in the brewer between July 24 and September 29, raising their combined holdings as part of an ongoing stake-building plan disclosed earlier this year.

The purchases were detailed in a corporate filing dated October 17 and published on CNInfo under announcement No. 2026-024. The update said the buying was carried out by Tsingtao Brewery Group Co., Ltd., the company’s controlling shareholder, and Hong Kong Xin Hai Sheng Investment Development Co., Ltd., which is fully owned by the group and acts in concert with it. The disclosure reported progress through October 16.

According to the filing, the two entities bought 459,200 A shares on the Shanghai Stock Exchange and 1,583,000 H shares in Hong Kong. Together, those purchases represented 0.1497% of Tsingtao Brewery Co., Ltd.’s issued share capital. The company said the A-share purchases cost 23.3635 million yuan, while the H-share purchases cost HK$64.5529 million. The filing reported the spending in the two currencies separately.

Before the plan began, Tsingtao Brewery Group directly held 405,132,055 A shares and 818,000 H shares, for a total of 405,950,055 shares, equal to 29.76% of the company’s total share capital. Its subsidiary, Hong Kong Xin Hai Sheng, held 37,517,600 H shares, or 2.75%. Their combined position before the new purchases stood at 443,467,655 shares, or 32.51% of the company.

Adding the 2,042,200 newly acquired shares brings the combined holding to 445,509,855 shares. Based on the percentages in the filing, that implies the group and its concert party now hold about 32.66% of Tsingtao Brewery, an increase of 0.1497 percentage points from the level disclosed at the start of the plan.

The purchases are part of a six-month buying program first announced on July 25, with an implementation period running from July 24, 2026, to January 23, 2027. Tsingtao Brewery said at the time that the controlling shareholder and its concert party planned to use their own funds to increase holdings in both A shares and H shares, with a total intended investment of no less than 150 million yuan and no more than 300 million yuan. The company also said the total number of shares to be bought would depend on actual market purchases, with the increase not expected to exceed 2% of total share capital based on the date of the original announcement.

In the latest update, the company said the buying so far reflects the controlling shareholder’s confidence in Tsingtao Brewery’s future strategic development and its recognition of the brewer’s long-term value. It also said the purpose was to support market expectations, strengthen investor confidence, and protect investor interests.

The filing made clear that this was only a progress report on an existing plan, not a completed transaction for the full target amount. It also was not a share buyback by Tsingtao Brewery itself and did not involve new financing for the company’s operations. The update did not signal any change in corporate control. The company explicitly said the stake increase would not lead to a change in the controlling shareholder or the actual controller.

Tsingtao Brewery is one of China’s oldest brewers, founded in Qingdao in 1903, and its shares trade in both Shanghai and Hong Kong. That dual listing means the ownership increase was carried out across the mainland A-share market and the Hong Kong H-share market, rather than through a single exchange.

The timing in the filing is also narrower than the publication date might suggest. Although the announcement was released in mid-October, the shares covered in the update were purchased from July 24 through September 29. The company said the cumulative figures were reported as of October 16.

Tsingtao Brewery also warned that the stake-building plan still faces uncertainty. It said changes in capital market conditions or other factors that cannot yet be predicted could affect whether the increase is completed as planned or reaches the expected level. The company said it would continue to monitor the implementation of the plan and make further disclosures in line with regulatory requirements.
